Spin-Off

Trading Term

A spin-off separates a firm into two or more independent entities. In a spin-off, the firm may distribute all or part of some subset of its existing assets and liabilities to its current shareholders as a dividend in-kind. The new shares are typically distributed on a pro rata basis so that the transaction does not alter the shareholders’ proportional ownership of the parent company and the newly spun-off entity.
